1. About this Document

This document explains the main risks you should be aware of when you use the crypto-asset services offered by Ronin EM Ltd ("Ronin", "we", "us", "our").

It is for information purposes only and does not replace our Terms and Conditions, product- specific disclosures, or your own independent product/market research, your risk tolerance and investment advice provided by third parties. It does not tell you whether you personally should invest or trade. Only you can decide whether our services are suitable for you.

2. Who We Are and How We Are Regulated

Ronin EM Ltd is a limited liability company incorporated in Cyprus with Company Registration Number HE 400137. We are licenced and regulated by the Cyprus Securities and Exchange Commission (CySEC) as a Crypto-Asset Service Provider (CASP) under the EU Markets in Crypto-Assets Regulation ("MiCAR") with registration number **S017/24**.

Being regulated means we must follow rules on transparency, conduct, anti-money laundering and safeguarding of client assets. However, regulation does not mean that your investments are risk-free or that losses will be compensated.

In particular:

  • Crypto-assets are not generally considered traditional bank deposits or traditional investment products.
  • They may not be covered by deposit protection schemes or investor compensation schemes that apply to some other financial products.
  • You can lose some or all of the money you invest.

3. General Risks of Crypto-Assets

3.1. Price Volatility Risk

Crypto-asset prices are extremely volatile and can fluctuate dramatically, often in a matter of minutes. Prices are influenced by speculation, regulatory announcements, technological developments, and market sentiment, all of which are unpredictable. You must be prepared for extreme and sudden losses.

3.2. Liquidity Risk

While major crypto-assets (like Bitcoin and Ethereum) are generally liquid, smaller or lesser- known crypto-assets can have low trading volumes. This means you may be unable to sell your assets quickly, or you may be forced to sell at a price significantly lower than the last traded price.

3.3. Market and Exchange Risk

Our platform executes trades by accessing liquidity pools and external exchanges. We are subject to risks related to the failure, suspension, or poor operational stability of these external venues. Furthermore, market manipulation, insufficient market depth, and delays in execution can negatively affect your trading results.

4. Technological and Operational Risks

4.1. Blockchain Protocol and Smart Contract Risk

Crypto-assets rely on blockchain and distributed ledger technology. This technology is novel and subject to risks including, but not limited to:

  • Protocol errors, bugs, or network failures.
  • Successful 51% attacks, which can compromise transaction finality.
  • Hard forks, which can split a crypto-asset into two incompatible versions, creating market confusion and potential loss of value.

4.2. Cybersecurity and Platform Risk

While we implement advanced security measures, all internet-based platforms are vulnerable to cyber-attacks, malware, and hacking. A breach of our platform or a third-party custodian's systems could lead to the loss of client assets.

Furthermore, system failures, delays, or communication errors on our end or yours (e.g., weak passwords, phishing) can result in financial loss.

5. Legal and Regulatory Risks

5.1. Regulatory Uncertainty

Although we operate under the MiCAR framework, the regulatory landscape for crypto-assets is constantly evolving globally. New laws, regulations, or guidance from authorities (including CySEC or the EU) could materially impact the trading, custody, or valuation of crypto-assets. We may be required to suspend services or delist certain assets with little notice due to regulatory changes.

5.2. Legal Classification and Rights

The legal nature of many crypto-assets remains unsettled in various jurisdictions. Your legal rights concerning ownership and transfer may be subject to different interpretations in the event of a dispute or insolvency.

6. Your Responsibilities as a Client

When you use our services, you agree that you:

  • Have read and understood this General Risk Disclosure and our Terms and Conditions.
  • Understand that investing and trading in crypto-assets is high-risk and that you may lose all the money you invest.
  • Will only use funds that you can afford to lose and that are not needed for essential living costs or debt repayments.
  • Will keep your account credentials and any personal wallets secure and notify us promptly if you suspect unauthorized access to your account.
  • Will seek independent financial, legal and tax advice where you feel this is necessary.
